Welcome to Stomata Labs, a Findability Sciences and Pantaleon initiative platform providing next-generation Artificial Intelligence (AI) solutions tailored exclusively for sugar mills. By accessing or using our website, products, and services (“Services”), you agree to comply with and be bound by these Terms of Service (“Terms”). Please read them carefully.

1. Acceptance of Terms
By agreeing these Terms of Services, you represent that you are at least the age of majority in your state or province of residence, have the legal capacity to enter into this agreement, and agree to comply with these Terms, our Privacy Policy, and any additional guidelines provided.

2. Services Provided
We offer AI-powered solutions designed to boost efficiency, profitability, and sustainability in  sugar mill operations.
Services may include (but are not limited to):
- AI-based data analysis and forecasting tools
- Process optimization platforms
- Business intelligence dashboards

-The exact scope of your services will depend on your subscription plan, service contract, or statement of work (SOW) agreed with us.
-We reserve the right to modify, suspend, or discontinue any part of the Services without prior notice.  

3. User Responsibilities
When using our Services, you agree to:
- Provide accurate, complete, and updated information when required.
- Maintain confidentiality of your login credentials.
- Use the Services only for lawful business purposes.
- Not misuse the Services (e.g., reverse engineer, copy, resell, or exploit for unauthorized purposes).
- Ensure that your use of the Services complies with applicable laws, including data protection and industry-specific regulations.
- We reserve the right to suspend or terminate access if you breach these obligations.

4. Intellectual Property
All content, software, algorithms, designs, trademarks, and documentation provided through our Services are the intellectual property of Findability Sciences or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes only.
Unauthorized reproduction, modification, or distribution is strictly prohibited.

5. Data Usage & Privacy
We may collect and process operational data to provide and improve the Services. Sensitive and proprietary data shared by sugar mills remains owned by the customer, subject to confidentiality obligations.

6. Modifications to the Services
We may, from time to time, update, enhance, or discontinue certain features of the Services to improve performance, comply with regulations, or introduce new functionality. Material Changes: If a change significantly impacts your use of the Services, we will notify you in advance.
We reserve the right at any time to modify or discontinue the Service (or any par of content thereof) without notice at any time.
We shall not be liable to you or to any third party for any modification, price change. Suspension or discontinuance of the Service.

7. Data Privacy and Security
Your data is handled as per our Privacy Policy. By using our Services, you consent to the collection, processing, and storage of your data. We implement reasonable administrative, technical, and physical safeguards to protect your information but cannot guarantee absolute security. Both parties agree to maintain strict confidentiality of proprietary and business-sensitive information shared during the course of using the Services, except where disclosure is legally required.  

8. Warranties and Disclaimers
Our Services are provided on an “as is” and “as available” basis. You acknowledge that AI-generated insights are probabilistic and should be reviewed before making decisions that carry legal, financial, or safety implications.
While we strive for accuracy and reliability, we do not guarantee uninterrupted, error-free, or fully secure operations. The AI solutions provide decision support, not legally binding or guaranteed business outcomes.

9. Limitation of Liability
To the maximum extent permitted by law, Findability Sciences shall not be liable for:
- Indirect, incidental, or consequential damages (loss of profits, data, or goodwill).
- Operational losses resulting from reliance on AI predictions without human validation.
- Damages exceeding the amount paid by you (if any) for the Services in the past 12 months.

10. Indemnification
You agree to defend, indemnify, and hold harmless Findability Sciences, its directors, employees, and affiliates from any claims, damages, or liabilities arising from:
- Your misuse of the Services.
- Violation of these Terms.
- Infringement of third-party rights.

11. Termination
We may suspend or terminate your access to the Services if:
- You breach these Terms.
- You misuse the Services or engage in fraudulent activity.
- Required by law or regulatory obligations.
- You may also discontinue use of the Services at any time by notifying us.

12. Refund Policy & Service Credits
Refunds: Unless otherwise specified in a written agreement, all payments are non-refundable. However, we may issue a prorated refund if we terminate the Services for reasons other than your breach of these Terms.
Service Credits: If we fail to meet a committed uptime or performance metric (as specified in an SLA), you may be eligible for service credits, which can be applied to future invoices.
Request Process: To claim service credits, you must submit a written request within [30] days of the incident, including supporting evidence.
Exclusions: Downtime due to maintenance (with prior notice), force majeure events, or third-party failures outside our control will not qualify for credits.

13. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of USA. Any disputes shall be subject to the exclusive jurisdiction of the courts of  USA.

14. Compliance and Export Controls You agree to comply with all applicable local, national, and international laws, including data privacy, intellectual property, and export control regulations when using our Services.

15. Modifications to Terms We may update these Terms from time to time. Changes will be effective when posted on this page with the “Effective Date” updated. Continued use of the Services indicates your acceptance of the revised Terms.  

16. Enterprise Service-Level Agreement (Optional)
For enterprise customers, additional terms regarding uptime guarantees, response times, data handling, and confidentiality obligations may be outlined in a separate Service-Level Agreement (SLA) or Master Services Agreement (MSA).
